An Outstanding and Personable Approach to Business Law

Business Litigation

Breach of Contract

In situations involving contract breaches or pursuing legal claims, securing expert legal support is crucial. Legal challenges stemming from contract breaches have intricate nuances and can disrupt business operations, underscoring the need for proficient legal counsel. Count on your business dispute lawyer to deliver comprehensive support, safeguard your interests, and fight for your rights for a fair resolution.

Non-Compete Agreements

Non-compete agreements are contractual obligations that restrict individuals from engaging in activities (like starting a new business or working for a competitor) that could undermine their former employer’s interests for a certain period after leaving their job. Legal guidance plays a pivotal role in confirming the agreement’s legality and preserving the rights of both parties.

Business Fraud

Business fraud involves the utilization of dishonest or fraudulent practices by entities or persons, constituting a serious breach that can lead to legal action. Ponzi schemes, insider trading, and embezzlement are all examples of business fraud. The intricacies and potential impacts of these cases create significant obstacles for your company, affecting its reputation and financial viability. With our seasoned attorneys by your side, you can successfully navigate these matters, safeguard your interests, and uphold legal responsibility.

Purchase or Sale of a Business

Navigating the purchase or sale of a business requires a skilled lawyer to ensure that all legal aspects are carefully handled. We offer professional guidance to ensure your interests are safeguarded and transactions are conducted smoothly and legally.

Intellectual Property Infringement

The unauthorized use, distribution, or reproduction of another individual’s intellectual property, such as trademarks, trade secrets, copyrights, or patents constitutes intellectual property infringement. Demonstrating infringement typically requires legal assistance in evidence compilation, understanding intricate legal frameworks, and navigating legal proceedings to ensure thorough protection of your intellectual property rights.

Negligence Torts

In negligence torts, harm arises from an individual’s disregard for reasonable care standards. Establishing duty, breach, causation, and damages is crucial, but can present hurdles in these cases. Rely on your esteemed business attorney in Alhambra to offer indispensable legal guidance, advocacy, and a just resolution.

Employment Discrimination

An employment discrimination case involves accusations of discriminatory practices by an employer toward an employee due to factors such as age, gender, or race, encompassing topics like unfair pay, harassment, or wrongful termination. Addressing these issues is tough, whether you’re an employee experiencing discrimination or a business facing accusations of it. With our experienced attorneys at your side, you receive invaluable counsel, targeted solutions, and a commitment to equitable outcomes for everyone involved.

Contract Disputes

Complex contract disputes, including breaches, unclear terms, and enforcement challenges, necessitate the meticulous evaluation and strategic expertise of a seasoned business attorney. At Ensberg Law Group, we specialize in helping clients resolve contract disputes effectively by ensuring clarity and favorable resolutions. Our skilled attorneys are experienced in negotiation, mediation, and litigation. We are committed to safeguarding our clients’ interests and achieving positive outcomes.

Business Partner Disputes

Succession Issues Related to Departure

Succession matters often involve addressing how an individual’s ownership in their company will be handled or transferred upon their departure. Conflicts may arise concerning valuation assessments, ownership rights, and managerial responsibilities, underscoring the crucial role of a proficient business attorney in Alhambra for achieving resolutions.

Breach of Fiduciary Duty

Breach of fiduciary duty refers to a situation where a partner fails to act in the best interest of the partnership. Examples include conflicts of interest, misappropriation of funds, and failure to disclose vital business information. These cases are complex because professional and personal connections may overlap significantly. Seeking legal counsel is essential for safeguarding assets and achieving equitable resolutions to conflicts.

Misappropriation of Funds or Business Assets

Misappropriating company funds or assets refers to the act of a partner using business resources for a personal advantage. Committing this unlawful act can result in legal actions such as legal proceedings, asset recovery efforts, and potential criminal accusations, calling for thorough legal investigation and representation.

Disagreements Over the Future of the Business

Business partners may find themselves in legal disputes stemming from conflicting views on the company’s future. Mediation and arbitration can be utilized to seek a resolution in such cases. Should negotiations fail, considerations such as business buyout, dissolution, or restructuring might arise.

Co-Owner Disputes

Legal disputes among co-owners, particularly those involving property management, profit sharing, or decision-making authority, can be multifaceted. Successfully maneuvering through these complexities demands the expertise of a skilled business lawyer to uphold the interests of all co-owners, achieve equitable solutions, ensure operational seamlessness, and mitigate prolonged conflicts.

Conflicts of Interest

A conflict of interest can occur when personal motivations conflict with the company’s goals, resulting in a breach of trust. Legally addressing these matters involves two factors – disclosure and recusal. Integrity and the stability of your business are our top priorities as we work toward a fair resolution through legal means.

Divorce or Death

The dissolution of marriage or the death of a partner can precipitate disputes among business partners, stemming from unexpected alterations in ownership structures, decision-making powers, or financial stability. Expert legal assistance is indispensable in addressing sensitive concerns regarding asset allocation, succession planning, and the ongoing viability of the business. Legal guidance can offer clarity and fairness during emotionally charged circumstances, making it a wise choice to seek representation.

Allegations of Fraud

The involvement of fraud allegations mandates legal representation for all parties concerned. Allegations could be linked to financial inconsistencies, deceptive behavior, breaches of fiduciary duty, or unrelated events. Legal advisors support in proving innocence or substantiating claims with convincing evidence and adherence to legal standards.

Removal of a Partner

The removal of a partner from a company requires careful attention to multiple legal considerations. The involvement of legal advisors is crucial for both parties to manage matters like breach of fiduciary duty, misconduct claims, and financial disputes. Dealing with this might necessitate mediation, arbitration, or court interventions to determine a just and legal removal according to partnership agreements and relevant laws.

Business Arbitration

What is business arbitration?

Rather than opting for litigation, arbitration offers an alternative route for addressing worker-employer disputes. It’s a neutral platform where an arbitrator or panel delivers a conclusive ruling after assessing both perspectives, offering a quicker and typically more cost-effective resolution than conventional legal channels.

How are arbitration awards enforced?

Filing a petition is necessary to make an arbitration award official. Ensberg Law Group assists in this effort by confirming the precise presentation of necessary documents, including the award and arbitration agreement, to the court for acknowledgment or certification.

Business Entity Formation

Choosing an Entity Type

The decision regarding a business entity involves evaluating possibilities like sole proprietorship, partnership, corporation, or LLC, each with its own tax, liability, and management consequences. Rely on your Alhambra business attorney to lead you through this vital decision, furnishing valuable perspectives on the merits and disadvantages of each option as it relates to your particular needs and business objectives.

General Partnerships (GP)

The essence of a general partnership lies in its collaborative nature, with multiple individuals sharing equal ownership, responsibilities, profits, and liabilities, unless explicitly outlined in a partnership agreement. Capital, skills, and sweat equity are contributed by each partner.

Limited Liability Companies (LLC)

An LLC is a business format providing owners with limited liability protection and employing pass-through taxation. LLCs are preferred by owners for their liability protection and flexible management, yet they may encounter obstacles like administrative requirements and associated costs.

Limited Liability Partnerships (LLP)

Blending partnership and corporate attributes, LLPs safeguard partners with limited liability protection. LLPs are chosen by business owners for their liability protection and tax flexibility, although they may encounter difficulties such as administrative demands and potential liability exposure for certain partners.

Drafting Business Partner Agreements

The critical nature of business partner agreements stems from their role in defining clear terms and providing protections. Specializing in custom agreements, our legal team ensures the protection of both partners’ interests to establish a robust foundation and get your business off to a great start.

Drafting Articles of Incorporation

Articles of incorporation are vital papers that legally acknowledge a corporation’s creation. Submitted to the Secretary of State’s office, these filings provide critical particulars like the company’s name, its goals, the makeup of the board of directors, and the initial share configuration. These records are critical for gaining legal approval and reinforcing the corporation’s security.

Employment Contracts

Employment contracts detail the rights, duties, and expectations of employers and employees. A comprehensive employment contract is fundamental for the organization, the contract, and the hired employees. Your business formation attorney’s legal proficiency extends to meticulously drafting and evaluating employment contracts for legal compliance and protection.

Bylaws

Bylaws act as internal regulations dictating how a corporation functions, covering areas such as shareholder meetings, board duties, and decision-making protocols. Grasping the concept of bylaws is essential for new entrepreneurs to guarantee adherence and operational efficiency, and enlisting the expertise of a business formation lawyer can assist in drawing up and executing them correctly.

Shareholder and Partnership Agreements

Shareholder agreements govern shareholder rights and obligations, while partnership agreements manage relationships among partners. Familiarization with these agreements is vital for seamless business incorporation, and our firm is equipped to provide legal advice and guidance.

Operating Agreements

Operating agreements play a pivotal role in the success of LLCs. These agreements detail the intricacies of ownership control, managerial duties, and operational norms. It’s important to understand these agreements to establish well-defined roles and responsibilities for your newly-incorporated business. With Ensberg Law Group’s expertise, these agreements will be crafted and reviewed to ensure legal compliance and protect your rights.

Registering Your Company Name

Before registering your business name, comprehensive research is necessary to check its availability and adherence to legal standards. Consider trademarks, verify domain name availability, and follow local regulations. To register successfully, choose a distinct name, confirm its availability, register appropriately, and consult with Ensberg Law Group for legal guidance and protection.

5 star ratingI needed an attorney to make an amendment to a Living Trust. I Googled living trust attorneys in West Covina and found Stephen Ensberg on lawyers.com. I had called several other attorneys and explained what I needed. They told me that I would have to start from scratch at a cost of $1,800 (even though I told them that I already had a binder with my living trust)! Mr. Ensberg told me that he could make an amendment, which is what my husband and I wanted. We met with him, and he created the amendment on the spot! It was exactly what we wanted, and the price was amazing. I was shocked when I read two bad reviews on yelp. I highly recommend him for living trust amendments. We received excellent service and are very happy and satisfied.
